Results of the Annual General Meeting 2023 of HusCompagniet A/S
Today, HusCompagniet held its Annual General Meeting in accordance with the agenda announced on 23 March 2023. The following resolutions were adopted:
The Annual Report 2022 and the proposal that the result for 2022 is carried forward to next year in accordance with the annual report for 2022 were adopted, and discharge of liability was granted to the Board of Directors and Executive Management.
The general meeting adopted the 2022 Remuneration Report in the advisory vote and approved the remuneration to the Board of Directors for 2023.
Claus V. Hemmingsen, Anja Bach Eriksson, Ylva Ekborn and Stig Pastwa were re-elected to the Board of Directors and Michael Troensegaard Andersen and Ole Lund Andersen were elected as new members of the Board of Directors.
EY Godkendt Revisionspartnerselskab was re-elected as the company’s auditor.
Authorisation to the Board of Directors to increase the Company’s share capital in the period until 1 May 2024, in one or more issues, by up to a nominal amount of DKK 18,210,000 without pre-emption rights for the existing shareholders was adopted.
The proposal to delete the secondary names of the Company from the Company’s Articles of Association was adopted.
The general meeting authorised the chair of the meeting, with power of delegation, to register the adopted proposals in accordance with the proposal from the Board of Directors.
Following the Annual General Meeting, a constituent meeting of the Board of Directors was held, and accordingly the Board of Directors and its committees are composed as follows:

HusCompagniet is a leading provider of single-family detached houses in Denmark. The company also builds semi-detached houses to both private consumers and professional investors and has a presence in Sweden where it produces prefabricated wood-framed detached houses through its VårgårdaHus brand.
